This is the agreement you accept when you order a company formation from Atlasway. You accept it by ticking the box at checkout, before you pay. It works alongside our general Terms of Use and Privacy Policy.
Atlasway — a service of Odinzone Labs LLC, a Delaware (USA) company — provides company-formation services. This Company Formation Agreement governs a formation order you place through this site, and it takes effect the moment you tick the acceptance box and submit your order. Where a point here and a point in our general Terms both speak to a formation order, this agreement controls on that point.
By placing your order, you authorize Atlasway to submit your company-formation order to the relevant registry — through the licensed formation and registered-agent provider we work with — and to charge your payment method the amount shown at checkout. You confirm you’re placing the order for yourself, or that you have the authority to place it for, and to bind, the company being formed and its owners.
The details you give us — names, addresses, ownership, and everything else on the form — are true, accurate, and complete, and you’ll tell us promptly if any of them change. You are at least 18 years old. You authorize Atlasway and our provider to act on the information you give without independently verifying it, and you release us from liability for anything done in good-faith reliance on it. If information you provide turns out to be false, that is on you.
You certify that you are not located in, and not a national or resident of, a country or territory subject to comprehensive sanctions or embargo, and that neither you nor any owner of the company is on the U.S. Treasury (OFAC) list of Specially Designated Nationals or any equivalent sanctions list. You will not use the company to break the law, evade tax or sanctions, hide beneficial ownership, or work around a bank’s or payment processor’s rules. This is the same line we draw in our Terms — we screen for it, and we decline where we see it.
The registry filing and the registered-agent service are carried out by a licensed third-party provider, not by Atlasway directly. That provider’s own registered-agent agreement governs those services; we’ll make it available to you, and by placing your order you agree the company will be bound by it. Registered-agent service renews each year for a fee, which is shown before you order. Atlasway remains your single point of contact throughout.
Atlasway is not a law firm, a tax advisor, or a government agency, and nothing we or our provider give you is legal or tax advice. No attorney–client relationship is created by ordering or by anything on this site. For advice on your own situation, speak to a qualified professional.
Your service fee covers exactly the items listed as “Included” on that company’s page. Government filing fees and the provider’s registered-agent charge are third-party costs, billed as shown before you order. Refunds are governed by the Refunds section of our Terms: in short, third-party costs already spent on your behalf can’t be refunded, and our own service fee is refundable for work we haven’t done yet.
Placing an order does not guarantee that any authority approves or registers your company, or that any timeline holds. Formation depends on the relevant authorities and on the accuracy and completeness of the information you give us.
To the fullest extent the law allows, Atlasway’s total liability in connection with a formation order is limited to the service fee you paid us for that order, and we are not liable for indirect, incidental, or consequential losses. Nothing here limits any liability that cannot be limited under the law that applies to you.
Ticking the acceptance box and submitting your order is your electronic signature to this agreement, and we keep a record of it. We’d suggest you save or print a copy for yourself — this page stays here for reference, and we’ll note the date above whenever it changes.
